Over the years, we have used the following names based on position and role in the DG
framework:
• CouncildThe DG council usually is the primary monitoring and issue resolution body. In larger
organizations, there can be an executive council as well as an operational council.
• CommitteedWhen the executive level council is advisory, we call it a committee.
• ForumsdIn large companies, there are multiple varieties of governance. Very often, we need to set
up sub-units that focus on one topic. We call these forums.
Regardless of the eventual structure, each major level of DG needs to have a charter developed.
A sample outline is provided in Appendix iii, but it will contain the mission, vision, and major
activities for the respective DG layers.
3. Review and obtain approval of DG framework designdOnce the RACI exercise, roles, and names
are identified, the obvious step is to present the list of proposed layers and functionality. Typically,
there will be some back and forth regarding the roles and availability of higher-level resources. The
DG team needs to be aware that this step may take a while, as the approval of such structures
usually occurs among personnel who only get together once a month, at best. Once the various
layers and functionality of DG are approved, the actual appointment of accountable parties must
occur. This is not an exercise to be taken lightly. Many DG efforts come to a total halt here.
Once business leadership sees that someone in their area (or even themselves) will be exposed
to additional accountability, the hands go up and the hollering starts. This is why the change
capacity assessment is so important. Hopefully, a savvy DG team has identified the individuals
who will balk, and worked behind the scenes to address any issues. We had one client who took
