vision See vision statement.
vision care insurance Reimbursement for examinations and eyeglasses.
vision statement A description of what the organization wants to accomplish in the long term; it is
not financial in nature and is virtually unattainable and therefore unlikely to change.
volatility Significant change, such as movement in stock price; measured in the Black-Scholes and
other formulas.
volume The total number of shares of stock traded for a specified period.
voluntary deferral Decision by person (not required by the company) to defer a portion of salary
and/or bonus to a future date.
Voluntary Employees Beneficiary Association (VEBA) A tax-exempt plan paying medical, death,
and other benefits to employees and their dependents or beneficiaries.
voluntary referral A request by a person to receive current earnings at a future date. See construc-
tive receipt and economic benefit.
voting right The right to vote on matters subject to a vote.
W–2 Form See Form W–2.
W–4 Form See Form W–4.
W–9 Form See Form W–9.
waiting period See vesting period.
waive Intentionally giving up a right.
waiver A documented form of a waive.
walk-away contract A delayed, single-trigger change of control contract.
warrant The right given to an investor to buy a stated number of shares of common stock at a
prescribed price over a specified time period.
wash-sale rule Purchase and sale of the same securities within 30 days will prohibit deduction of
any loss.
wash-sale transaction Purchase and sale of the same company stock within 30 days.
watchdog organizations See shareholder watchdogs.
watered stock Dilution in the value of common stock resulting from the infusion into the stock
market of a significant number of newly issued shares of stock.
waiver of premium No premium payment while insured is disabled (or perhaps unemployed).
walk-away contract See modified single-trigger contract.
wellness programs Vehicles designed to keep individuals healthy and prevent illne with funds
available to creditors.
white knight An organization coming to the rescue of an attempted takeover by a black knight.
whole life insurance Life insurance in force for life of the insured.
will A legal document describing how a person’s assets are to be disbursed at time of his or her death.
Wilshire 5000 An index of 5,000 U.S. stocks.
windfall An unexpected gain.
window period The SEC-defined ten-day period (from the third to the twelfth day) following a
public disclosure of company financial statement during which stock appreciation rights may be
cashed out without violating short-swing profit rules.
withdrawal privilege Ability to take money out of a plan.
